1. Who we are

Autory ("we") is cloud software for managing inventory, sales, technical sheets, and restocking for restaurants, operated by Autory. By purchasing or using Autory, you enter into a contract with Autory and agree to these Terms and Conditions. You can contact us at contactautory@gmail.com.

2. Acceptance

Continued use of the service implies acceptance of these terms. If you are contracting on behalf of a company, you represent that you have authority to bind it; if you are contracting as an individual, you represent that you are of legal age.

3. Account and credentials

You must provide truthful information and keep it up to date, and safeguard the confidentiality of your credentials. You are responsible for all activity carried out from your account and for the users you invite to your restaurant.

4. Permitted use and misuse

You may not:

  • use the service for unlawful or fraudulent purposes or to send spam;
  • infringe third-party intellectual property rights;
  • interfere with the security of the service (malware, scanning, scraping, circumventing technical limits);
  • reverse engineer, resell, or redistribute the software.

5. License and intellectual property

Autory retains ownership of the software, its documentation, and its brand. We grant you a limited, non-exclusive, non-transferable right of use for the duration of your subscription. Data you upload remains yours; you grant us a limited license to host and process it for the sole purpose of providing you the service.

6. Service level and artificial intelligence

We do not guarantee that the service will run uninterrupted or error-free. Suggestions generated by artificial intelligence (demand predictions, restocking, analysis) are for guidance only and may be inaccurate; you are responsible for verifying them before making purchasing or business decisions. Autory does not provide accounting, tax, or legal advice.

7. Payments, subscription, and taxes

The subscription is $49 USD per month or $490 USD per year, per restaurant, and renews automatically until you cancel it. Payment processing, billing, taxes, cancellations, and refunds are governed by the Paddle Buyer Terms.

Our checkout is carried out by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles all customer service inquiries related to the purchase and manages refunds.

8. Suspension and termination

We may suspend or terminate access in the event of material breach of these terms, non-payment, security or fraud risk, or repeated or serious violations of our policies. Upon termination, you may export your data for 30 days; after that it may be deleted.

9. Warranties and liability

To the maximum extent permitted by law, we exclude implied warranties of merchantability and fitness for a particular purpose. Our aggregate liability is limited to the amounts paid in the 12 months preceding the event giving rise to the claim, and we are not liable for indirect or consequential damages (loss of profits, data, or reputation). Liability for willful misconduct, fraud, death, or personal injury is not excluded where the law prohibits it.

10. Indemnity, governing law, and miscellaneous

You will hold us harmless from claims arising from your data, unlawful use, or breach of these terms. These terms are governed by the laws of the Republic of Costa Rica, and any dispute will be submitted to its competent courts. You may not assign the contract without our consent; we may assign it in the event of a merger or acquisition. Neither party is liable for failures caused by events outside its reasonable control.
